1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the website and platform operated by Avaril Technologies Pvt. Ltd. (“Avaril”, “we”, “us”, or “our”), including any account, dashboard, API, or SDK made available under the Avaril brand (together, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. Eligibility and Accounts
The Service is intended for business use by organizations and their authorized personnel. You must be at least 18 years old and capable of forming a binding contract to create an account.
You are responsible for maintaining the confidentiality of your account credentials, including any multi-factor authentication setup, and for all activity that occurs under your account. Notify us promptly at security@avaril.net if you suspect unauthorized access.
3. The Service
Avaril provides a compliance platform that helps organizations generate, manage, and publish privacy documentation, consent flows, and related artifacts under India's Digital Personal Data Protection Act, 2023 (“DPDPA”). The Service is a tool to support your compliance program; it does not constitute legal advice, and using it does not by itself guarantee compliance with the DPDPA or any other law. You remain responsible for determining whether your use of the Service, and your own data practices, satisfy your legal obligations.
4. Your Content and Data
“Customer Content” means the business information, data-asset inventories, processing-activity records, policy drafts, and other content you or your organization submit to the Service. As between you and Avaril, you retain all rights to Customer Content.
You grant Avaril a limited license to host, process, and display Customer Content solely to provide and improve the Service. Where Avaril processes personal data on your behalf as a Data Processor (for example, End User consent records collected through your use of the Avaril SDK), our Data Processing Agreement governs that processing, and our Privacy Policy describes our practices in more detail.
You are responsible for ensuring that Customer Content you submit, and any consent or notices you configure through the Service, are accurate and lawfully obtained.
5. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law, including the DPDPA.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure, or probe, scan, or test the vulnerability of any system without authorization.
- Use publishable or secret API keys, or the Avaril SDK, in a manner inconsistent with
sdk.mdor in a way that misrepresents consent status to End Users. - Reverse engineer, decompile, or resell the Service without our written consent.
- Upload content that infringes third-party rights or that you do not have the right to submit.
6. Fees and Payment
Paid plans are billed in advance on a recurring basis as described at checkout, processed through our payment partner, Razorpay. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
7. Intellectual Property
The Service, including its software, design, and underlying technology, is owned by Avaril or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to Avaril's trademarks, logos, or brand features except as necessary to use the Service as intended.
8. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if we reasonably believe continued access poses a security or legal risk. On termination, your right to use the Service ends, and we will handle any retained Customer Content in accordance with our Privacy Policy and applicable law.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will guarantee compliance with any specific legal or regulatory requirement.
10. Limitation of Liability
To the maximum extent permitted by law, Avaril will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
11. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory arbitration or dispute resolution process specified in your order form or master services agreement, if any.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service or legal requirements. We will post the updated Terms on this page with a revised “last updated” date, and where changes are material, we will provide additional notice such as an email or an in-product banner. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
